JOB RESPONSIBILITIES:

Corporate Secretarial

  • Manage all corporate secretarial functions and provide support to Management or Superiors on governance and compliance-related matters.
  • Ensure timely and accurate lodgement of statutory forms, returns, and reports in line with regulatory obligations.
  • Uphold and promote best practices in corporate governance and ensure compliance with relevant statutory and regulatory requirements.
  • Review statutory documents, company returns, and other secretarial documentation to ensure accuracy and compliance.
  • Draft board papers, resolutions, and minutes for Board, Board Committee, and Shareholders' meetings.
  • Coordinate, organize, and attend Board, Board Committee, and Shareholder meetings, ensuring all requirements are met.
  • Assist in the preparation and compilation of the Company's Annual Reports.
  • Maintain and update statutory records, registers, and corporate information in a timely and organized manner.
  • Perform any other duties assigned by Management or Superiors, including multi-tasking across relevant areas as and when required.

Sustainability

  • Implement sustainability strategies that support the Company's ESG sustainability objectives.
  • Coordinate with relevant departments and operating units within the Group to monitor the target achievement of all deliverables.
  • Assist in the preparation of sustainability reporting in alignment with reporting standards and frameworks and in compliance with the relevant regulatory requirements.
  • Assist in the conduct of the Group's annual supplier self-assessment.
  • Support the preparation of the external assurance of the sustainability process and data.
  • Develop and implement communication plans to promote sustainability awareness and to inculcate sustainability ownership through sustainability programs.
  • Lead the team in the compilation & verification of sustainability performance data.
  • Prepare sustainability-related presentations, reports, and ESG rating updates for both internal and external consumption.

REQUIREMENTS:

  • A member of MAICSA
  • Minimum of 10 years' experience in corporate secretarial practice, including at least 5 years in a publicly listed company.
  • Excellent communication skills with a strong command of English and Bahasa Malaysia, both spoken and written.
  • Computer literate, detail-oriented, and highly meticulous in documents and compliance matters.
  • In-depth knowledge of company secretarial practices, the Companies Act 2016, Main market listing requirements of Bursa Malaysia Securities Berhad, and other relevant laws and regulations.
