YOUR ROLE AS A :
The Senior Manager, Company Secretary serves as the principal governance advisor to the Board and Senior Leadership Team, leading the Company's corporate governance framework, Board effectiveness and statutory compliance. The role ensures governance excellence across multiple entities while providing strategic legal guidance to support the organisation's business objectives and regulatory obligations
Key Responsibilities :
- Lead the Company's corporate governance framework across all legal entities.
- Act as Company Secretary for the Board and Board Committees.
- Advise the Chairman, Directors and Executive Leadership Team on governance matters.
- Lead Board and Committee meeting planning, governance calendars and annual work plans.
- Review Board papers to ensure governance quality and decision readiness.
- Ensure compliance with Companies Act, Bursa Listing Requirements, Malaysian Code on Corporate Governance and other applicable regulations.
- Lead Board induction and ongoing governance education programmes.
- Oversee statutory filings and corporate records across multiple jurisdictions.
- Drive governance transformation and continuous improvement initiatives.
- Manage relationships with regulators and corporate authorities.
- Oversee subsidiary governance across the Group.
- Provide legal advice on strategic corporate matters.
- Review high-value commercial contracts.
- Lead governance aspects of mergers, acquisitions and restructuring activities.
- Manage external legal counsel.
- Support litigation and regulatory investigations where required.
- Advise Executive Leadership Team and Board on governance implications of business decisions.
- Support strategic corporate exercises.
- Represent the Corporate Secretariat in executive governance forums.
Leadership and Team Management:
- Provide guidance, mentorship, and oversight to junior team members within the company secretarial department.
- Foster a collaborative and efficient work environment that supports professional growth and development.
- To work closely with the Department Head in ensuring the smooth operation of the department as a support function within the Group.
- Manage the administrative and daily work efficiently and support continuity of the department functions in the absence of the Department Head.
Qualification Skills:
- Bachelor's degree in Business Administration, Law, or a related field. Legal qualifications are a plus.
- 10-15 years’ experience in a company secretarial role with experience handling secretarial matters for public listed companies in Malaysia.
- Substantial experience in a company secretarial role, legal, or corporate governance position.
- In-depth knowledge of corporate governance principles, company law, and regulatory frameworks.
- Exceptional organizational abilities, attention to detail, and a strategic mindset.
- Excellent communication, presentation, and interpersonal skills.
- Proficiency in using office software and document management systems.
- Strong leadership skills, including the ability to manage and mentor a team.
- Demonstrated ability to maintain confidentiality and handle sensitive matters with discretion.
- Extensive experience supporting Boards of Directors.
- Licensed Company Secretary (MAICSA/CGI or equivalent)is a plus.
- Experience in listed companies, aviation or highly regulated industries.
- Regional governance experience across multiple jurisdictions.
- Experience working directly with Chairpersons and Board Committees.
