KEY ACCOUNTABILITIES:
- Contract Management:
- Draft, review, negotiate and provides legal support and documentation for complex contracts and agreements, including power purchase agreements, coal supply agreements, mining services contract, joint ventures, share sales agreement, supply and procurement contracts, connection agreements, settlement agreements.
- Strategic Legal Support:
- Provide expert and strategic legal advice, managing legal risk and overseeing complex legal matters on a wide range of matters, including corporate, commercial, land and wayleave, regulatory, and compliance issues within the energy sector.
- Advise senior management on legal issues, potential risks, and regulatory developments affecting the energy industry.
- Corporate Compliance Management:
- Ensure compliance with legislation, regulatory frameworks, and best practices for the conduct and operation of local and regional projects as well as renewable energy initiatives across multiple jurisdictions.
- Monitor changes in legislation and assess their impact on the business.
- Corporate Governance:
- Support the board and senior management in governance and corporate secretarial matters. Ensure compliance with corporate governance standards and practices.
- Stakeholder Engagement:
- Establish and maintain close contacts with internal and external stakeholders including government bodies and industry regulators to ensure compliance and achievement of goals and objectives.
- Legal Dispute Management:
- To handle all disputes involving the assigned business unit(s) in a cost-effective manner, and in the best interests of the SEB Group as a whole.
- Manage case files and provide instructions to external advocates and solicitors for legal disputes, including regulatory compliance issues and contractual disagreements. Represent the company in negotiations, arbitrations, and other dispute resolution processes.
- Risk Management:
- Identify legal risks and develop strategies to mitigate them. Conduct legal risk assessments related to projects, transactions, and operations.
- Industry Awareness:
- Stay informed about market trends and developments in the energy sector, particularly in renewable energy and cross-border collaborations, to provide proactive legal advice that aligns with the company's strategic goals.
- Reporting and Budget Management:
- Provide regular legal updates to the Head of Legal/ senior management and assist in managing the budget allocated for legal services, ensuring cost-effective management of resources.
- Corporate Management:
- To proactively contribute to the development of best practices and procedures for the Legal Division.
- To plan and develop KPIs relevant to Legal Services to their assigned business unit(s).
- To assist Head of Legal Division to develop and maintain a sound organization plan to provide adequate Middle Management, Executive/Non-Executive development to ensure capable succession with minimum competency gap in legal.
- Provide coaching, guidance, and directions to subordinates in terms of executing responsibilities to ensure a competent and motivated team.
- To actively participate in commercial excellence, project delivery and operational excellence and HSSE.
CHALLENGES OF THE JOB:
- To be proactive and capable of handling and managing legal disputes with the opposing party or their legal representative prior to obtaining external legal assistance from panel of law firms.
QUALIFICATION & WORK EXPERIENCE:
- Bachelor of Laws from recognized institution /university and having a broad and extensive experience of minimum 12-14 years working as a legal practitioner or corporate lawyer.
- Having been admitted to the High Court of Sabah and Sarawak is an added advantage.
- Have wide experience in the negotiation of contractual terms with external parties, including major local and international parties. Experience in power and energy supply and purchase, joint venture and/or cross-boundary arrangements will be an advantage.
- Strong appreciation of internal/external corporate governance and compliance requirements.
Preference will be given to internal candidate.
